1. Distributor Requirements

To become an authorized distributor for our Mother and Baby Products, the distributor must meet the following requirements:

  • Business Entity: The distributor must be a registered business entity with a valid business license in their country of operation.
  • Experience: A proven track record in distributing similar products (preferably in the baby care, healthcare, or consumer goods sectors).
  • Financial Stability: The distributor must demonstrate financial stability, including the ability to purchase products in bulk and manage inventory effectively.
  • Infrastructure: Adequate storage facilities and logistics capacity to manage product shipments and deliveries efficiently.

2. Product Pricing and Discounts

  • Wholesale Pricing: All prices for our Mother and Baby Products will be provided on a wholesale basis. Pricing will be subject to volume-based discounts, with better rates for larger orders.
  • Minimum Order Quantities (MOQ): A minimum order quantity (MOQ) will be established for each product. The MOQ may vary depending on the product category.
  • Price Adjustments: Prices may be adjusted annually or as necessary based on market conditions, cost of raw materials, or other factors. Distributors will be informed of price changes in advance.
  • Payment Terms: Payment terms will be discussed individually but typically include:
    • 30% deposit upon order confirmation
    • 70% payment before shipment

Autoru and the distributor will further negotiate the details during the negotiation phase

3. Marketing Support and Training

We provide comprehensive marketing support to ensure the successful promotion of our products:

  • Marketing Materials: Distributors will have access to promotional materials such as brochures, product images, and digital content for local marketing campaigns.
  • Advertising and Promotion: We encourage distributors to actively participate in local advertising and promotional activities, such as online ads, trade shows, and in-store promotions.
  • Product Training: Our team will provide training on the features, benefits, and sales techniques for our products. This includes in-person training sessions, and product manuals.

4. Order Fulfillment and Shipping

  • Order Processing: Orders will be processed within 10-15 business days of receipt. All orders must be submitted through the official order portal or via email, and payment terms must be adhered to.
  • Shipping and Delivery: This agreement outlines the terms and conditions regarding the use of Incoterms (International Commercial Terms) for the transactions between Autoru and the Distributor. Incoterms will define the responsibilities and obligations of both parties concerning the delivery, shipping, and transfer of risks related to the products.
  • Lead Times: Typical lead times are 4-6 weeks for international orders, but may vary based on product availability and shipping conditions.

5. Product Quality and Warranty

  • Product Quality: All products are manufactured in compliance with international safety standards and regulations for mother and baby products.
  • Warranty: Warranty claims must be submitted in writing, and any defective products will be replaced and send replacements in the next order.
  • Returns and Damages: Returns are accepted only for defective products. If the distributor receives damaged goods, you should notify us within 10 days of receipt.

6. Termination and Agreement Renewal

  • Termination Conditions: Either party may terminate the distribution agreement by providing written notice with 30 days’ notice. Grounds for termination include:
    • Failure to meet sales targets
    • Breach of contract terms
    • Failure to adhere to brand guidelines
  • Agreement Renewal: The agreement will be reviewed annually. If both parties are satisfied with the partnership, the agreement may be renewed for another term.

7. Dispute Resolution

Any disputes or disagreements arising from the distributor agreement will be handled in good faith. Dispute resolution will follow the steps outlined in the contract, with arbitration or mediation as a final step if needed.
